iVenza Affiliate Program Terms

These Affiliate Program Terms (the "Terms") govern your participation in the iVenza Affiliate Program (the "Program"), operated by Show Up Show Out LLC, doing business as iVenza ("iVenza", "we", "us"). By enrolling as an affiliate, you agree to these Terms. If you do not agree, do not enroll.
1. Eligibility
You must have an active iVenza account, be at least eighteen (18) years old (or the age of majority where you live, whichever is greater), and be able to form a binding contract with us. The Program is void where prohibited or restricted by law, and you are responsible for complying with the laws that apply to you. We may decline or revoke enrollment at our discretion.
2. Enrollment and Your Affiliate Link
Enrollment is self-serve and immediate: you become an affiliate from within the iVenza app and receive a unique referral code and link. Each person may hold one (1) affiliate account. You are responsible for all activity under your code and for keeping your account secure. Your code is for promoting iVenza to new users; it does not give the people you refer a discount.
3. How Referrals Are Tracked
- New sign-ups only. A person is attributed to you when they create a new iVenza account through your referral link or by entering your code, within the first seven (7) days of that account. People who already have an iVenza account, or who sign up after that window, are not attributed to you.
- One affiliate per customer, for the life of the account. Each customer can be attributed to only one affiliate. If more than one code could apply, the first valid attribution wins, and it stays with that customer for the life of their account.
- Tracking only. Your code tracks the referral; it does not change the price the referred customer pays.
- No manipulation. Referring yourself, creating fake or duplicate accounts, incentivizing sign-ups in a way that violates these Terms or applicable law, or otherwise manipulating attribution is prohibited and voids the affected commissions.
4. Commissions
For customers attributed to you, you earn a commission equal to your affiliate rate, currently ten percent (10%), of the net platform revenue iVenza recognizes from those customers, as calculated by iVenza and shown in your monthly statement. We may change the affiliate rate at any time on notice; a rate change applies only to revenue recognized after the change and does not alter commissions already accrued. No commission is earned on transactions that are refunded, reversed, charged back, cancelled, or determined to be fraudulent, and we may deduct or claw back commissions attributable to such transactions.
5. Statements and Payment
We provide a statement of your attributed customers and earnings each month. Commissions are paid monthly, in arrears, once your unpaid balance exceeds fifty US dollars ($50). Balances below the threshold roll over to the next period until the threshold is met. Payments are made by the method arranged with you. You are responsible for providing accurate payment and tax information; we are not liable for payments delayed or lost due to inaccurate information.
6. Taxes
You are solely responsible for all taxes on the commissions you earn. If you are a US person, you must provide a completed IRS Form W-9 before we pay you, and we will issue an IRS Form 1099 where required by law. If you are outside the US, you are responsible for any withholding or reporting that applies to you.
7. Your Responsibilities
When promoting iVenza, you agree that you will:
- Disclose the relationship. Clearly and conspicuously disclose that you earn a commission from iVenza, consistent with the US FTC endorsement guidelines and any similar rules that apply to you.
- Promote honestly, and not make false, misleading, or unauthorized claims about iVenza, its features, pricing, or results.
- Not send spam or unsolicited commercial messages, and comply with anti-spam, marketing, and privacy laws (for example CAN-SPAM and, where applicable, TCPA and GDPR).
- Not use the iVenza name, logos, or trademarks except to promote iVenza in accordance with these Terms, and not register domains, social handles, or paid-search/ad campaigns that misuse our brand or impersonate iVenza.
- Not use cookie stuffing, forced clicks, malware, or any deceptive or automated technique to generate referrals.
- Not promote iVenza on sites or in contexts that are unlawful, or that contain hateful, harassing, or sexually explicit material.
8. Independent Contractor
You participate in the Program as an independent contractor. Nothing in these Terms creates an employment, agency, partnership, or joint-venture relationship, and you have no authority to bind iVenza or to make commitments on our behalf.
9. Changes to the Program and These Terms
We may modify, suspend, or discontinue the Program, or update these Terms, at any time. If we make material changes, we will provide notice by a reasonable method. Your continued participation after a change takes effect means you accept the updated Terms.
10. Term and Termination
You may leave the Program at any time. We may suspend or terminate your participation at any time, including for violation of these Terms, suspected fraud, or manipulation of attribution. On termination, your right to promote iVenza and to earn further commissions ends. Commissions properly earned and not voided under these Terms, and that have met the payout threshold, will be paid in the ordinary course; commissions tied to prohibited conduct are forfeited.
11. Disclaimers and Limitation of Liability
The Program is provided "as is" and "as available", without warranties of any kind. We do not guarantee any level of traffic, referrals, or earnings. To the fullest extent permitted by law, iVenza and its affiliates, and their respective officers, directors, employees, and agents, will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, arising out of or relating to the Program, and our total liability relating to the Program will not exceed the total commissions paid or payable to you in the six (6) months before the event giving rise to the claim.
12. Indemnification
You will indemnify and hold harmless iVenza and its affiliates from any claim, loss, or expense (including reasonable attorneys' fees) arising out of your participation in the Program, your promotional activities, or your breach of these Terms or of applicable law.
13. Governing Law and Disputes
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. The exclusive venue for any dispute that is not otherwise subject to the dispute-resolution provisions of the iVenza Terms of Service is the state or federal courts located in Miami-Dade County, Florida, and you consent to their jurisdiction. Your use of iVenza also remains subject to the iVenza Terms of Service and Privacy Policy.
